CAS was established in 1991 and its team of eight full-time employees assist its clients with a wide variety of corporate governance and corporate compliance requirements, including: planning for and taking minutes at board and committee meetings;  SEDI insider and issuer reports; corporate governance policies and board/committee charters; minute books; AGM information circular and liaison with the transfer agent regarding  the AGM process; private placement administration and filings; due diligence materials and closing books; stock option grants and stock option plan approvals; annual information forms and assistance with quarterly and annual financial filings; press releases and material change reports;  as well as assistance with corporate structure changes, shares for debt/services applications, and amendments to previously granted stock options and warrants.

All of CAS’ business is by referral.  Our expertise is in project management, communication, attention to detail and our ability to work effectively with senior management, the board of directors and professional advisors to ensure compliance with corporate, securities and stock exchange requirements, which allows CEO’s and CFO’s to focus on the operational success of their businesses.
